These Terms of Service (“Terms”) form a legally binding agreement between you and Webcilo Inc. Limited in relation to your access to and use of Vibebo.
Webcilo Inc. Limited (“Webcilo”, “Vibebo”, “we”, “us” or “our”) is a private company limited by shares registered under the laws of the Federal Republic of Nigeria with RC Number 1974231 and registered address at 5 Ndi-Orji Road, Umaju, Mpam, Imo State, Nigeria.
Please read these Terms together with our Privacy Policy, Cookie & Tracking Technologies Policy, Legal Disclaimer and any safety, community, subscription or feature-specific rules presented to you when you use the Service.
1. ACCEPTING THESE TERMS
By creating an account, creating or using a Vibebo link, sending a submission, joining or managing a Channel, publishing or interacting with content, purchasing a paid feature, or otherwise using Vibebo, you agree to these Terms.
If you do not agree to these Terms, do not use the Service.
If you use Vibebo on behalf of a business, organisation or other legal entity, you confirm that you have authority to bind that entity to these Terms. In that case, “you” includes that entity where the context permits.
Nothing in these Terms removes rights that applicable law says cannot be waived or restricted.
2. ELIGIBILITY AND AGE
You must be at least 18 years old to create an account, submit User Content, send an anonymous message or other response, manage a Channel, purchase a paid service or otherwise participate interactively in Vibebo unless we expressly state a different age requirement for a particular jurisdiction or feature.
People aged 13 to 17 may only access parts of the Service that we expressly make available to them and, where required, with the involvement or consent of a parent or legal guardian. Use of Vibebo by a person under 13 is not permitted.
We may use proportionate age-assurance or age-estimation measures where appropriate or required by law. We may restrict, suspend or close access where we reasonably believe an age requirement has not been met.
3. WHAT VIBEBO PROVIDES
Vibebo provides tools for anonymous participation and feedback. Features may include:
- personal profiles and shareable links;
- anonymous messages, questions, feedback, opinions, wishes and other responses;
- optional sender-provided hints;
- private inbox and moderation controls;
- blocking and reporting tools;
- Channels that allow authorised members to review submissions together;
- public publishing of selected anonymous submissions and responses;
- public feeds or areas such as VibeboX where people may react, comment, follow, save or share;
- profile, audience and engagement insights;
- filtering, moderation and safety systems;
- paid or premium features;
- AI-assisted, summarisation, organisation or productivity tools where made available; and
- other features we add or change over time.
Features may differ by device, account type, location, age, subscription or product version.
4. ACCOUNTS AND ACCOUNT SECURITY
You are responsible for information you provide when creating and maintaining your account and for keeping your login credentials secure.
You must not:
- register using information you are not entitled to use;
- impersonate another person or organisation;
- sell, transfer or share an account in a way we have not authorised;
- allow another person to bypass restrictions placed on their account by using yours; or
- knowingly allow unauthorised access to your account.
Tell us promptly if you reasonably believe your account has been compromised.
We may ask you to verify information where reasonably necessary to protect an account, investigate abuse, comply with law or provide a requested service.
5. ANONYMOUS PARTICIPATION
Anonymity is a core feature of Vibebo.
When Vibebo describes a submission as anonymous, this means that Vibebo does not present the sender’s identity to the recipient or other users merely because the sender made that submission.
Anonymous does not mean that no information is processed internally. Vibebo may process limited technical, security and internal identifiers where reasonably necessary to:
- deliver the submission;
- prevent spam, fraud and manipulation;
- enforce a block;
- investigate reports;
- detect repeated abuse;
- moderate the Service;
- maintain security and integrity;
- comply with legal obligations; or
- protect the rights and safety of users and others.
Internal safety information is not a recipient-facing identity feature. A recipient is not entitled to receive an anonymous sender’s raw IP address, device identifier, technical fingerprint or other internal safety information. A paid subscription does not create such an entitlement.
We may be required or permitted by law to preserve or disclose information in limited circumstances, including in response to valid legal process or serious safety matters. Any such disclosure is separate from the recipient-facing anonymity provided by the Service.
6. SENDER-PROVIDED HINTS
A sender may choose to attach a hint or other context to an anonymous submission where that feature is available.
A hint is information voluntarily provided by the sender. It is not a Vibebo-generated technical clue about the sender’s identity.
The recipient may be able to view the hint. A sender should therefore include only information they are comfortable revealing to the recipient and, where the associated submission can be published, potentially to a wider audience if the interface explains that the hint may be published with it.
7. PRIVATE SUBMISSIONS AND PUBLICATION
A submission may initially arrive in a private inbox, but some Vibebo features allow the recipient to publish selected submissions, usually together with the recipient’s own response, to a public area of Vibebo.
Where the submission interface tells you that the recipient may publish your submission, you authorise Vibebo to make the submitted content available to that recipient and, if the recipient uses the publishing feature in accordance with these Terms, to display that content publicly as part of the Service.
Publishing a submission does not authorise Vibebo or the recipient to publish Vibebo’s internal safety information about the sender.
Senders should not include names, addresses, contact details, images, confidential information or other identifying material unless they are prepared for that material to be seen by the recipient and, where applicable, published.
Recipients are responsible for their decision to publish and must not knowingly publish content in a manner that violates applicable law, another person’s rights or these Terms.
We may remove or restrict published content where required by law or where it violates our rules.
8. CHANNELS AND COLLABORATIVE FEATURES
Vibebo Channels may allow an account owner or authorised administrator to invite other people to review or manage submissions together.
If you own or administer a Channel, you are responsible for:
- inviting only people who should have access;
- assigning appropriate permissions;
- removing access when it is no longer needed;
- using information available through the Channel lawfully; and
- complying with any additional obligations that apply to your organisation’s use of anonymous feedback.
A Channel member must use access only for the purpose for which it was granted and must not attempt to identify an anonymous sender using information obtained through Vibebo or by combining it with other data in a way that violates law, these Terms or the sender’s reasonable privacy expectations.
If a business or organisation uses Vibebo to collect information for its own purposes, that organisation may have its own duties under privacy, employment, whistleblowing, consumer or other law. Vibebo does not replace those duties.
Where Webcilo expressly agrees to process personal information solely on behalf of a business customer as a processor, any required data-processing terms will apply in addition to these Terms.
9. USER CONTENT AND OWNERSHIP
“User Content” means messages, hints, posts, replies, comments, profile material, media, reports, feedback and other material you submit to the Service.
As between you and Vibebo, you retain the rights you have in your User Content. You are responsible for ensuring you have the rights and permissions necessary to submit it.
You grant Webcilo a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, format, moderate and otherwise use your User Content only as reasonably necessary to:
- provide and operate the Service;
- deliver content to the intended recipient;
- enable publication or sharing you or the relevant recipient choose through Service features;
- protect and secure the Service;
- enforce these Terms and our safety rules;
- investigate reports and complaints; and
- comply with law.
This licence lasts for as long as reasonably necessary for those purposes, subject to our Privacy Policy, retention practices and any rights you may have under applicable law.
The licence does not give Vibebo ownership of your User Content.
10. PROHIBITED CONTENT AND CONDUCT
You must not use Vibebo to create, send, solicit, publish, promote, facilitate or distribute content or activity that is unlawful or that violates these Terms.
This includes, without limitation, using the Service to:
- threaten, harass, stalk, intimidate or target another person with abuse;
- encourage, facilitate or threaten violence or serious harm;
- exploit or sexually abuse children or distribute child sexual abuse material;
- promote or facilitate terrorism or proscribed organisations;
- share non-consensual intimate images or sexual material in violation of law;
- facilitate fraud, scams, identity theft, phishing or deceptive financial activity;
- engage in unlawful hate, discrimination or incitement;
- unlawfully sell, promote or facilitate regulated or prohibited goods or services;
- impersonate another person in a deceptive or harmful manner;
- infringe intellectual property, privacy, confidentiality or other legal rights;
- expose another person’s private or identifying information without lawful justification;
- send spam, bulk abuse or automated submissions not authorised by us;
- interfere with, probe, scrape, reverse engineer, bypass or disrupt the security or operation of the Service except to the extent such restriction is prohibited by law;
- circumvent a block, suspension, age restriction, rate limit or safety control;
- use data obtained through Vibebo to build an unauthorised dossier on an anonymous sender or visitor;
- introduce malware, malicious code or harmful automated activity; or
- use the Service for any purpose that violates applicable law.
The examples above are not exhaustive.
11. SAFETY, MODERATION AND ILLEGAL CONTENT
Vibebo is designed to support anonymous participation while giving users meaningful safety controls.
We may use a combination of user controls, reports, automated systems, human review, rate limits, filters and other proportionate measures to identify and respond to harmful, abusive or illegal activity.
Depending on the circumstances, we may:
- filter or limit delivery of content;
- warn a user;
- restrict visibility or reach;
- remove content;
- disable a link or feature;
- block or restrict a sender internally;
- suspend or terminate an account;
- preserve relevant information;
- refer a matter to a competent authority where legally required or appropriate; or
- take another proportionate safety measure.
Where required by applicable online-safety law, we use proportionate measures to address illegal content and other relevant risks, provide reporting and complaints routes, and apply appropriate protections for children.
No moderation system is perfect. The presence of reporting or moderation tools does not mean that Vibebo has reviewed or approved every item of User Content.
12. BLOCKING
Where blocking is available, a block is intended to prevent future interaction from the blocked participant with the relevant profile or Channel.
To make blocking meaningful in an anonymous environment, Vibebo may maintain an internal sender or visitor identifier and related safety information. The recipient may use the block without receiving the identity behind that identifier.
Attempts to circumvent a block may result in additional restrictions or suspension.
13. REPORTING, COMPLAINTS AND APPEALS
You can report content or activity using the reporting controls made available in the Service or through the support/contact route published by Vibebo.
Reports should be made in good faith. Knowingly false, abusive or manipulative reporting may itself violate these Terms.
Where required by applicable law, Vibebo provides a complaints process for qualifying decisions concerning content, accounts, reporting or safety measures. We may request information reasonably necessary to understand and investigate the complaint.
A content or safety complaint does not automatically reverse the original decision. We will review eligible complaints in accordance with applicable law and our published procedures.
Data-protection complaints are handled under the separate process described in our Privacy Policy.
14. PAID SERVICES AND SUBSCRIPTIONS
Vibebo may offer paid plans, subscriptions or one-off features.
Before you buy, we will provide the material price, billing interval, renewal information and any feature-specific terms required by law.
If a subscription renews automatically, the renewal terms presented at purchase form part of your agreement. You can cancel future renewal using the method provided through the relevant account, app store, payment provider or Service interface, as applicable.
Payments may be processed by a third-party payment provider. Their terms may also apply to the payment transaction.
Nothing in these Terms removes any statutory right you have to cancel, obtain a remedy, receive a refund or challenge defective digital content or services where applicable consumer law provides that right.
Paid features may change, but we will not use a paid subscription as a mechanism for revealing Vibebo’s internal identity or safety information about an anonymous sender.
15. AI-ASSISTED FEATURES
Where Vibebo provides AI-assisted functionality, it may help organise, summarise, classify, draft or analyse content.
AI outputs may contain errors, omissions or inappropriate material. You are responsible for reviewing outputs before relying on, publishing or acting on them.
You must not use an AI feature to make unlawful discriminatory decisions, unlawfully infer sensitive information, circumvent anonymity protections or otherwise violate these Terms.
If a particular AI feature materially changes how personal information is processed, we will provide the privacy information required for that feature.
16. VIBEBO INTELLECTUAL PROPERTY
Except for User Content and third-party material, Vibebo and its software, branding, designs, interfaces, databases, text, graphics, logos, trademarks and other materials are owned by or licensed to Webcilo and are protected by applicable intellectual-property laws.
We grant you a limited, personal, non-exclusive, non-transferable and revocable right to access and use the Service in accordance with these Terms.
You may not copy, sell, license, distribute or exploit Vibebo’s proprietary material except as permitted by law or with our written permission.
17. FEEDBACK ABOUT VIBEBO
If you voluntarily give us ideas, suggestions or feedback about Vibebo, you allow us to use that feedback without an obligation to compensate you, provided that doing so does not give us ownership of personal information or User Content unrelated to the feedback itself.
18. PRIVACY AND DATA PROTECTION
Our Privacy Policy explains how Webcilo handles personal information, including account information, anonymous submissions, sender-safety information, profile visits, audience insights, reports, cookies and analytics.
By using Vibebo, you acknowledge that personal information will be handled as described in that policy and applicable just-in-time notices.
Privacy rights and lawful-basis requirements are governed by applicable data-protection law and are not waived by these Terms.
19. THIRD-PARTY SERVICES
Vibebo may rely on or link to third-party services such as hosting providers, app stores, payment processors, analytics services, social platforms, content-delivery networks or external websites.
We are not responsible for the independent content or practices of a third party that is outside our control. Your use of a third-party service may be governed by that provider’s terms.
20. CHANGES TO THE SERVICE
We may improve, modify, add, remove or discontinue features for legitimate product, safety, legal, technical or commercial reasons.
Where a change materially affects a paid consumer service, we will provide any notice, cancellation option, refund or other remedy required by applicable law.
We may make urgent changes without advance notice where reasonably necessary for security, abuse prevention, legal compliance or service integrity.
21. SUSPENSION AND TERMINATION
You may stop using Vibebo at any time and may delete your account using the available account controls, subject to limited retention permitted or required under our Privacy Policy.
We may restrict, suspend or terminate access where reasonably necessary because:
- you materially or repeatedly violate these Terms;
- your activity creates a material safety or security risk;
- we reasonably believe the account is fraudulent or compromised;
- we are required to do so by law;
- continued access would expose Vibebo or others to material legal risk; or
- the relevant Service is discontinued.
Where appropriate and legally required, we will provide notice or a way to challenge the decision.
Termination does not remove rights or obligations that by their nature should survive termination, including intellectual-property rights, payment obligations already incurred, lawful retention, and provisions concerning disputes and liability.
22. SERVICE WARRANTIES AND CONSUMER RIGHTS
We aim to keep Vibebo reliable, secure and available. However, no online service can guarantee uninterrupted availability, perfect moderation, delivery of every message, complete protection from harmful conduct or error-free operation.
To the extent permitted by law, features that are supplied without charge may be provided on an “as available” basis and may be changed or withdrawn.
Nothing in these Terms excludes or reduces any mandatory consumer rights that apply to you.
We do not make promises about third-party content, User Content or matters outside our reasonable control that the law does not require us to guarantee.
23. LIMITATION OF LIABILITY
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
Subject to that, Webcilo’s liability is limited to the fullest extent permitted by applicable law.
If you use Vibebo wholly or mainly for business purposes, then, to the extent permitted by law, Webcilo will not be liable for indirect or consequential loss, loss of profit, revenue, business opportunity, goodwill or anticipated savings arising from use of the Service, except where the loss cannot lawfully be excluded or limited.
This section does not change any responsibility imposed on Webcilo by applicable law.
24. BUSINESS USER INDEMNITY
If you use Vibebo wholly or mainly for business purposes, you agree, to the extent permitted by law, to indemnify Webcilo against reasonable losses, liabilities and costs resulting directly from your unlawful use of the Service, your material breach of these Terms, or your infringement of another person’s rights.
This section does not apply to a consumer acting wholly or mainly outside a trade, business, craft or profession.
25. LEGAL REQUESTS AND LAW ENFORCEMENT
We may preserve, disclose or restrict access to information where we reasonably believe we are required or permitted to do so by applicable law, valid court order or other lawful process.
We assess requests according to applicable law and may reject requests that are invalid, overbroad or not supported by appropriate legal authority.
The fact that Vibebo protects sender anonymity from recipients does not prevent Webcilo from complying with a binding legal obligation.
26. GOVERNING LAW, LOCAL RIGHTS AND DISPUTES
These Terms are governed by the laws of the Federal Republic of Nigeria. Mandatory laws that apply to you because of where you live or use the Service may give you additional rights or protections, and nothing in these Terms removes rights that cannot lawfully be waived.
Where applicable law gives you mandatory consumer protections or rights to bring proceedings in a particular place, this section does not remove those protections or rights.
If you use Vibebo wholly or mainly for business purposes, the courts of the Federal Republic of Nigeria will have exclusive jurisdiction over disputes arising from these Terms unless we agree otherwise in writing or mandatory law requires a different forum.
Before starting formal proceedings, we encourage both sides to try to resolve a dispute through our contact process where appropriate. This does not affect a legal limitation period or any right to seek urgent relief.
27. CHANGES TO THESE TERMS
We may update these Terms to reflect changes in the Service, law, safety practices, technology or our business.
Where a change materially affects your rights or an ongoing paid service, we will provide notice where required by law. If applicable law requires consent to a particular change, we will seek it rather than relying solely on continued use.
The effective date at the top of the Terms shows when the current version applies.
28. GENERAL TERMS
If a court finds part of these Terms unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Our failure to enforce a provision immediately does not waive our right to enforce it later.
You may not transfer your contractual rights or obligations without our permission where that would materially affect us, except where applicable law gives you that right. We may transfer our rights and obligations as part of a merger, reorganisation, sale of business or similar transaction provided that doing so does not unlawfully reduce a consumer’s rights.
These Terms, together with the policies and feature-specific terms expressly incorporated into them, form the agreement governing your use of Vibebo.
